1. Positioning & Nature of Business
Star Brands Consulting Group operates as a private intelligence, advisory, and opportunity-access platform designed for serious commercial decision-making.
It is not:
• A marketplace
• A broker or intermediary
• A public SaaS tool
• A transaction execution entity
2. Client Suitability & Eligibility
Access to services, advisory, or Star Access™ is intended for serious investors, operators, and commercially capable parties.
We reserve the right to:
• Refuse access
• Decline engagement
• Restrict platform usage
Where a user is deemed not commercially suitable.
3. Star Access™ (Controlled Platform)
Star Access™ provides structured access to intelligence systems, opportunity pathways, and strategic tools.
Access:
• Is permissioned, not public
• May be revoked at any time
• Does not grant entitlement to opportunities
4. Advisory Engagements
Advisory is a mandate-based service layer providing structured strategic input.
It does not:
• Transfer responsibility
• Create fiduciary duty
• Establish partnership or agency
5. Deal Flow & Opportunity Exposure
All opportunities presented:
• Are subject to change or withdrawal
• May be competitive
• May not remain available
Visibility does not equal allocation, exclusivity, or guaranteed participation.
6. Non-Circumvention (CRITICAL)
Users agree not to bypass, circumvent, or avoid Star Brands Consulting Group in relation to:
• Introduced opportunities
• Deal flow visibility
• Strategic introductions
Any attempt to engage directly or indirectly with:
• Brands
• Operators
• Investors
• Partners
Introduced through our platform or advisory — without our involvement — constitutes a breach.
7. Deal Protection & Participation Rights
Where Star Brands Consulting Group provides:
• Opportunity access
• Strategic positioning
• Deal facilitation
We reserve the right to:
• Participate commercially
• Receive advisory or success-based compensation
• Be recognized as part of the deal pathway
Even if a transaction is completed after initial introduction.
8. Payments & Commercial Terms
All payments are non-refundable unless explicitly agreed otherwise in writing.
Failure to complete payments may result in:
• Immediate access suspension
• Termination of services
9. No Guarantee of Outcomes
We do not guarantee:
• Approvals
• Returns
• Deal completion
• Business success
10. Client Responsibility
All decisions, actions, and outcomes remain the sole responsibility of the client.
11. Intellectual Property
All frameworks, systems, and intelligence structures remain proprietary and protected.
12. Limitation of Liability
We are not liable for:
• Financial loss
• Opportunity loss
• Third-party actions
• Execution outcomes
13. Enforcement
Breach of these Terms — especially circumvention — may result in:
• Legal action
• Commercial claims
• Compensation recovery
14. Governing Framework
These Terms operate under international commercial principles and enforceable business conduct standards.
